About the Role

The General Counsel / Head of Legal will lead all legal operations for the company, reporting directly to the Chief Financial Officer (CFO). This role will serve as a key legal advisor to the CFO and cross-functional teams. Responsibilities span corporate governance, commercial contracts, healthcare compliance, litigation management, employment matters, and regulatory oversight. The ideal candidate brings broad legal expertise, strong business acumen, and the ability to work autonomously in a fast-paced, entrepreneurial environment.

Responsibilities

Commercial & Contracts

  • Draft, review, and negotiate a broad range of contracts including equipment leases, service agreements, vendor and supplier contracts, OEM partnerships, and NDAs.
  • Develop and manage contract templates, playbooks, and approval processes.
  • Oversee contract lifecycle management and risk assessment.

Healthcare Regulatory Compliance

  • Ensure compliance with healthcare laws including Stark Law, Anti-Kickback Statute, HIPAA, FDA and CMS requirements as applicable.
  • Advise on licensure, credentialing, and regulatory filings for radiology equipment.
  • Build and maintain compliance programs and internal training.

Employment & Labor Law

  • Advise on employment policies, offer letters, restrictive covenants, disputes, and severance.
  • Ensure compliance with federal and state labor laws, OSHA, and DOL guidelines.
  • Support HR in disciplinary actions and internal investigations.

Risk Management, Litigation & Outside Counsel

  • Proactively identify, prevent, and mitigate legal risk related to product/service liability, tort claims, and other potential litigation exposures.
  • Manage all legal claims, disputes, and investigations involving the company.
  • Engage and oversee outside counsel for litigation, IP protection, regulatory matters, and complex transactions.
  • Monitor legal spend and ensure cost-effective use of external legal resources.

M&A, Investments & Strategic Initiatives

  • Support corporate transactions including potential acquisitions, joint ventures, and financings.
  • Conduct legal due diligence and structure transactions aligned with company goals.

Intellectual Property & Data Privacy

  • Protect company IP including trademarks and proprietary service techniques.
  • Manage relationships with outside IP counsel as needed.
  • Ensure data privacy policies are current and in compliance with applicable laws.

Qualifications

  • JD from an accredited U.S. law school; active and good standing with at least one U.S. State Bar (Florida Bar preferred or eligible for in-house counsel registration).
  • 7+ years of legal experience, including at least 3–5 years in-house at a healthcare, med-tech, or equipment leasing company.
  • Healthcare industry experience strongly preferred.
  • Deep knowledge of healthcare law, commercial contracts, and regulatory issues.
  • Experience building or leading legal departments from scratch is strongly preferred.
  • Demonstrated business judgment, emotional intelligence, and pragmatic decision-making.
  • Excellent negotiation, drafting, and communication skills.
  • Ability to manage multiple priorities in a fast-paced and evolving environment.
